These Terms of Service ("Terms") govern your access to and use of WebReply's website, browser extension, and related services (the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

WebReply provides tools to help professionals draft and manage engagement on supported platforms (for example, X/Twitter and LinkedIn), including optional automation features where offered. Features may change as we improve the product.

2. Eligibility and accounts

You must be able to form a binding contract in your jurisdiction to use the Services. You are responsible for your account credentials and for activity under your account. Notify us promptly of unauthorized use if we provide a support channel.

3. Acceptable use

You agree not to:

  • Use the Services to violate applicable law or third-party terms (including platform terms for X, LinkedIn, and others).
  • Attempt to deceive, harass, spam, or manipulate others, or to generate unlawful, harmful, or infringing content.
  • Probe, scan, or test the vulnerability of our systems without authorization, or interfere with the Services' operation.
  • Reverse engineer where prohibited by law or by an express written agreement that applies to you.

You remain responsible for content you post on third-party platforms. Automation and assistive features must be used consistent with product disclosures and your own risk tolerance.

4. AI outputs

The Services may use artificial intelligence to generate suggestions. AI outputs can be incorrect or inappropriate. You should review outputs before use. We do not warrant that outputs will achieve any particular result.

5. Fees

Some features may require payment. Fees, taxes, and renewal terms will be presented at purchase where applicable. Unless stated otherwise, subscriptions renew until canceled in accordance with the checkout flow and processor rules.

6. Intellectual property

WebReply and its licensors retain all rights in the Services, including software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal or personal business purposes.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBREPLY AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) FIFTY U.S. DOLLARS (US $50), IF NO FEES APPLIED.

9. Indemnity

You will defend and indemnify WebReply and its affiliates, officers, and employees from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or violation of these Terms, except to the extent caused by our willful misconduct.

10. Termination

We may suspend or terminate access to the Services if you materially breach these Terms or if we need to do so to protect security or comply with law. You may stop using the Services at any time.

11. Changes

We may modify these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. If changes are material, we may provide additional notice as required by law or as we reasonably deem appropriate.

12. Governing law

These Terms are governed by the laws of the jurisdiction where WebReply operates, without regard to conflict-of-law principles, unless a mandatory consumer protection law in your country provides otherwise. Courts in that jurisdiction will have exclusive venue, unless applicable law requires a different forum.
